The SEC uses this medium to reiterate that only approved digital exchanges and platforms are legally authorised to carry out business of crypto trading in any form in Nigeria. In this regard ARIP and RI remain only avenues for well-intentioned entities to legitimately introduce digital products and services to Nigerian capital market.

That warning from SEC Nigeria early 2026 came as SEC cleared seven new fintech firms for ARIP: Bitbarter Technologies Limited, Luno Fintech Nigeria Limited, GetEquity Limited, Koinkoin Global Network Limited, Wrapped CBDC Ltd, Trovotech Ltd and Blockvault Custodian Ltd.

According to SEC Approval-in-Principle permits firms to operate within defined scope subject to conditions. It clarified approval is not final operating licence but confirms each entity has satisfied admission requirements for ARIP.

The proposal follows SEC recent push to bring more virtual asset companies into ARIP with 12 firms admitted since July and on track to receive approvals-in-principle. Pace marks acceleration from 2025 when admissions slowed.

Newly admitted entities are: Bitbarter, Luno, GetEquity, Koinkoin, Wrapped CBDC, Trovotech, Blockvault, GIGX Technologies and KuCoin Nigeria.

SEC admits 3 more crypto firms taking ARIP participants to 14: Pisi Payments Solution Limited, BC Access Nigeria Limited (Blockchain.com), and Yellow Card Financial Limited. Latest admission brings number crypto firms under SEC sandbox to 14.

In May 2026 Nigeria has 14 ARIP licensed CASPs plus 2 fully licensed exchanges Quidax and Busha total 16 licensed entities. Daily P2P volume hit $2B April 2026 vs $1.2B Jan 2026 66% growth after licensing clarity.

What is ARIP and Why Matters - 2026 Structure

ARIP is innovative regulatory environment designed to fast-track on-boarding digital asset and other investment service providers (like Virtual Asset Service Providers and tokenized product platforms) through controlled regulatory sandbox.

Under new framework ARIP approval-in-principle would last two years but would not amount to full registration and would come with restricted operating scopes and enhanced supervision.

Requirements May 2026: Entities must be incorporated and have office in Nigeria to qualify for ARIP CEO or managing director must reside Nigeria. Minimum capital N500M exchange N200M custodian N100M broker. Local office compliance officer AML transaction monitoring. Must share transaction data SEC wants crypto firms to share transaction data new proposal 2026 requires ARIP firms submit daily transaction reports to SEC and FIRS.

$2B Daily P2P Volume - How Licensing Created Volume

Before ARIP banks blocked crypto 2021 CBN ban. After ARIP approval-in-principle licensed CASPs can open corporate accounts Tier 1 banks. Result P2P sellers now have bank accounts that don't get closed can process more volume.

Data May 2026: Binance P2P Nigeria daily $1.2B largest, Bybit P2P $450M, OKX $200M, KuCoin P2P now ARIP licensed $150M, Total ~$2B daily. Growth Jan 2026 $1.2B daily → April 2026 $2B daily = 66% growth after SEC cleared 7 new firms and mandated local offices.

Licensing Gaps May Weaken Enforcement - 2026 Tax Problem

Crypto tax may push Nigerian traders to P2P stakeholders warn ahead of 2026. Recurring concern among stakeholders is tax introduced before Nigeria has provided full licensing clarity to sector. Without broad base licensed operators tax regime will struggle to gain traction. Expanding licences accelerating ARIP and introducing tiered licensing system could strengthen formal market.

Nigeria crypto tax rules turn exchanges into tax collectors — new 2026 rules: 7.5% VAT on trading fees, 10% capital gains on USDT gains, 1.5% stamp duty on naira to USDT conversion (eNaira exempt), Exchanges must withhold tax remit to FIRS. If only 14 firms licensed traders will move to unlicensed P2P Telegram WhatsApp to avoid tax. SEC knows that's why accelerated ARIP with 12 firms admitted since July. But pace still slow 14 ARIP participants vs 200+ CASPs South Africa licensed framework Nigeria needs 50+ licensed to cover market.
