Pre-IPO perpetuals let traders speculate on a private company's implied valuation without owning shares. The hard part is deciding whether the quoted valuation is remotely sane when the reference funding round is stale, the assumed share count is synthetic and funding costs compound while you wait for an IPO.
What Matters
A pre-IPO perp price is not a stock price. On several exchanges, the contract is temporarily denominated using an estimated 1 billion shares, so a quoted price of $1,500 implies roughly a $1.5 trillion market capitalization before any rebase.
The biggest analytical mistake is comparing that implied valuation only with an old funding round. OpenAI's last completed priced round valued it at $852 billion in March 2026, while late-October funding talks reportedly moved toward roughly $1.25 trillion. Anthropic's May round valued it at $965 billion, but it filed its S-1 on 26 October and public-market expectations have since moved far above that old anchor.
DN's rule: measure a perp against both the last hard priced transaction and the freshest credible valuation anchor, then add funding carry and contract-conversion risk before calling it cheap or expensive.
DN Evidence Block
Hard anchors are completed priced transactions. Fresh anchors can include credible new funding talks, tender offers or IPO filings, but should never be treated as equivalent to a closed transaction.
The Signal: Pre-IPO Perps Trade Valuations, Not Shares
Binance, Bybit, KuCoin and other venues launched pre-IPO perpetuals using an estimated share-count convention. Bybit's OPENAIUSDT and ANTHROPICUSDT contracts, for example, initially treat one contract unit as roughly one-billionth of the company's estimated market capitalization. The venue says it may perform a proportional rebase once the actual share count becomes available.
This is why a trader should think in implied market capitalization, not in the headline contract price.
If OPENAIUSDT trades at $1,300 under a 1 billion-share convention, the market is implicitly pricing OpenAI at about $1.3 trillion.
DN Hard-Anchor Premium
This is the cleanest measure of how far the crypto market has moved beyond the latest closed financing round.
CoinGecko's 1 September snapshot found OpenAI pre-IPO perps averaging roughly 42.5% above the company's $852 billion March round, while Anthropic perps averaged roughly 100.5% above its $965 billion May round.
Those numbers were real as a snapshot, but they also demonstrate why stale anchors can mislead. By late October, OpenAI's reported funding discussions had shifted toward a much higher valuation, reducing the apparent premium relative to the freshest credible anchor.
DN Fresh-Anchor Premium
A fresh anchor might be:
- a completed employee tender;
- a newly closed financing round;
- a late-stage funding negotiation reported by multiple high-quality sources;
- or, once filed, an IPO price range in a registration statement.
Confidence is highest for completed transactions and lowest for rumors or negotiations that can still change.
OpenAI: The Same Perp Can Look Expensive or Reasonable Depending on the Anchor
OpenAI closed a $122 billion funding round on 31 March 2026 at a $852 billion post-money valuation. By late September, reports said OpenAI was targeting around $1.4 trillion for another raise; by 22 October Bloomberg reported negotiations had shifted to roughly $1.25 trillion.
OpenAI — March 2026 funding announcement
If a perp implies $1.3 trillion, that is roughly 52.6% above the $852 billion hard anchor but only about 4% above a $1.25 trillion fresh negotiation anchor.
The correct conclusion is not “fair value is $1.25 trillion.” The correct conclusion is that a trader who compares only with March data is using an outdated denominator.
Anthropic: The S-1 Changes the Benchmark
Anthropic raised $65 billion on 28 May 2026 at a $965 billion post-money valuation. On 26 October it filed an S-1 for a proposed Nasdaq listing under the ticker ANT. The number of shares and IPO price range had not yet been determined at the time of DN's verification.
Anthropic — S-1 filing announcement
That means the old $965 billion round remains a hard historical anchor, but the market is now transitioning toward a public-bookbuilding anchor. A pre-IPO perp trader must be ready for contract rebasing or conversion once actual share data and IPO pricing emerge.
DN Anchor Confidence Ladder
| Anchor | Confidence | Use |
|---|---|---|
| Completed financing / tender | High | Primary hard anchor |
| Filed IPO price range | High | Near-listing valuation anchor |
| Late-stage funding talks from high-quality reporting | Medium | Fresh context, not a closed transaction |
| Secondary-market indication | Medium | Useful if volume and terms are known |
| Unverified social-media valuation | Low | Do not use as a core benchmark |
Funding Turns a Valuation Bet Into a Carry Trade
A trader can be right on the eventual valuation and still lose money because the perp charges funding while the IPO takes months.
Bybit's original pre-IPO contract specification set a fixed 0.005% funding rate every four hours during the pre-IPO period. KuCoin's OpenAI pre-market contract used 0.005% every eight hours during its pre-market phase.
At 0.005% every four hours, a long paying funding for 180 days incurs approximately:
That means a $1.3 trillion implied valuation may need to become roughly $1.37 trillion just to cover 5.4% carry before fees, depending on funding direction and whether the rate remains fixed.
DN Carry-Adjusted Break-Even Valuation
The formula is deliberately simple. It tells a directional long how high the valuation must rise merely to offset expected funding drag.
Rebase Risk Is Denomination Risk, Not Automatically Economic Loss
Several venues use an estimated share count before the real cap table becomes public. Bybit says it may adjust contract size proportionally once actual share count is known, with the intent of preserving position value substantially unchanged.
The useful question is therefore not “Will the share count change?” It almost certainly will.
The useful question is:
If a contract implies a $1.5 trillion market cap and the eventual diluted count is 5 billion shares, the economically equivalent share price is $300.

How to Read the Calculator
The calculator does not produce a target price. It answers six narrower questions:
- What market cap does the perp price imply under the venue's denomination?
- How far is that above or below the last completed priced transaction?
- How far is it from the freshest credible valuation anchor?
- How much funding drag could accumulate before an IPO?
- What valuation is needed to break even after that carry?
- What share price would the implied market cap correspond to after a different actual share count is known?
Current Pre-IPO Perp Venue Snapshot
| Venue | Current / recent contracts | Key mechanism | DN note |
|---|---|---|---|

| Bybit | OPENAIUSDT, ANTHROPICUSDT | 1B estimated share convention; proportional rebase after actual share count | Strong example of why market cap matters more than quoted “share” price. |
| Binance | OPENAIUSDT, ANTHROPICUSDT | 1B estimated share convention | Contract can trade above or below assumed future IPO value. |
| KuCoin | OPENAIUSDT | Pre-market stock-index perp; 1B estimated shares | Published fixed pre-market funding convention. |

Why There Is No Normal Spot Arbitrage
Crypto perpetuals normally stay anchored because traders can arbitrage the perp against a liquid spot asset. Pre-IPO equity perps do not have that luxury.
There is no globally accessible OpenAI or Anthropic spot share market. Retail traders cannot simply buy a share on Nasdaq and short the perp when the contract trades rich.
That missing arbitrage link is structural. It explains why large valuation premiums can persist rather than instantly mean-revert.
DN Valuation Sanity Bands
These are not investment ratings. They are prompts for deeper diligence.
| Premium vs freshest credible anchor | DN interpretation | Question to ask |
|---|---|---|
| Below 0% | Discount to anchor | Is the market pricing deterioration, dilution or deal risk? |
| 0% to 15% | Near-anchor | Does funding carry erase the apparent upside? |
| 15% to 40% | Meaningful expectation premium | What growth or IPO demand must occur to justify it? |
| 40% to 75% | High expectation premium | Is the fresh anchor stale, or is the perp pricing a major repricing? |
| Above 75% | Extreme expectation premium | Is there a new hard valuation event—or mostly speculative reflexivity? |
The SpaceX Lesson: “Pre-IPO” Can End Quickly
The previous version of this DN article treated SpaceX as a flagship private-company example. That is no longer correct. SpaceX completed its IPO in June 2026 and now trades publicly under SPCX.
This is exactly why pre-IPO articles need active maintenance. A contract can move from synthetic private-market valuation exposure to ordinary public-equity pricing in a matter of weeks.
DN has therefore removed SpaceX from the current pre-IPO calculator defaults and retained it only as a historical transition case.
Anthropic's S-1 Creates a Live Rebase Test
Anthropic's 26 October filing makes it the most important live case for this benchmark. Its S-1 did not yet disclose a final share count or IPO price range, but once those values emerge, exchanges using synthetic share-count conventions will need to translate or rebase their contracts.
DN will treat that event as an empirical test:
- Did position value remain substantially unchanged through the rebase?
- Did spreads widen before or after conversion?
- Did the perp converge toward the IPO range?
- How much funding did long holders pay while waiting?
- Did different exchanges imply materially different valuations?
OpenAI Remains the Cleaner Pure Pre-IPO Case
OpenAI remains private with no filed public-market price range. That makes its perp markets a purer test of valuation discovery without an imminent IPO bookbuilding anchor.
Its challenge is different: the market has multiple plausible anchors, including a completed March round, reported tender activity and ongoing funding discussions.
DN therefore assigns more weight to anchor freshness for OpenAI than to any single historical funding number.

Falsification Test
The central DN thesis weakens if pre-IPO perps consistently converge tightly to subsequent hard transactions or IPO prices, funding drag remains negligible, and venue-to-venue valuation dispersion is small.
If that happens, pre-IPO perps will have demonstrated reliable price discovery rather than mostly speculative expectation trading. DN should publish that result.
Frequently Asked Questions
What is a pre-IPO perpetual?
It is a cash-settled perpetual derivative that lets traders go long or short a private company's implied valuation without owning its equity.
Does OPENAIUSDT represent an OpenAI share?
No. It is a synthetic derivative. On some venues the pre-IPO price is temporarily scaled using an estimated share count and can later be rebased.
Why do exchanges use 1 billion estimated shares?
It provides a simple denomination before the actual diluted share count becomes public. The figure is an operational convention, not the company's verified cap table.
What happens when the real share count is known?
Venues can perform a proportional rebase or conversion so the contract aligns with actual shares or a post-IPO pricing mechanism. Exact rules vary by exchange.
Why can a pre-IPO perp trade far above the last funding round?
The funding round may be stale, the company may have repriced privately since then, or the perp market may be expressing speculative expectations that are not anchored by spot arbitrage.
Can funding make a profitable valuation call lose money?
Yes. A long position can pay funding for months. The company may rise in value while the trader's net return is reduced or eliminated by carry and fees.
DN Alpha Thesis
Pre-IPO perps are becoming a new public price-discovery layer for companies that do not yet have public shares.
The opportunity is real, but so is the measurement problem. Traders are mixing completed funding valuations, secondary indications, rumored rounds, synthetic share counts and leveraged funding into one headline contract price.
Final Verdict
A pre-IPO perp can be a valuable price-discovery market without being a reliable estimate of eventual IPO value.

If you cannot explain all six, the contract price is not yet a valuation thesis. It is just a number on a leveraged screen.
